Terms of Service Content

1. Introduction and Acceptance of Terms

These Terms of Service ("Terms," "Agreement") constitute a legally binding contract between you ("User," "you," "your") and The Grid Gas Network Limited ("The Grid," "Grid Gas," "Company," "we," "us," "our"), a private limited liability company duly incorporated and registered under the Companies and Allied Matters Act (CAMA) 2020 of the Federal Republic of Nigeria.

These Terms govern your access to and use of The Grid Gas Network platform, including our website, mobile applications, application programming interfaces (APIs), smart metering infrastructure, and all related services (collectively, the "Services").

BY ACCESSING, REGISTERING FOR, OR USING OUR SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS IN THEIR ENTIRETY. If you do not agree to these Terms, you must immediately discontinue access to and use of our Services.

If you are accepting these Terms on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms, and references to "you" or "your" shall include such entity.

2. Definitions and Interpretation

In these Terms, unless the context otherwise requires:

  • "Building" means any residential, commercial, or mixed-use property that is connected to or is a candidate for connection to The Grid Gas Network infrastructure.
  • "Building Owner" means the legal owner, landlord, or property management company with authority over a Building.
  • "Facility Manager" means an individual or entity authorized to manage Buildings on The Grid, including tenant administration, vendor selection, and operational oversight.
  • "Infrastructure" means the physical equipment installed by or on behalf of The Grid, including but not limited to centralized LPG tanks, reticulation piping, smart meters, valves, regulators, sensors, and control systems.
  • "LPG" means Liquefied Petroleum Gas, the primary fuel distributed through The Grid Gas Network.
  • "Platform" means The Grid Gas Network's web applications, mobile applications, dashboards, and APIs.
  • "Prepaid Credit" means the monetary value added to a Tenant's account for the purchase of gas units.
  • "Smart Meter" means the electronic device that measures and controls gas flow to individual units and communicates with The Grid Platform.
  • "Tenant" means an end-user who occupies a unit within a connected Building and uses the Platform to purchase gas and monitor consumption.
  • "Vendor" means a verified, licensed LPG supplier authorized to fulfill refill orders on The Grid Gas Network.
  • "Working Days" means Monday to Friday, excluding public holidays recognized in Nigeria.

3. Eligibility and Account Registration

3.1 Eligibility Requirements

To access and use our Services, you must:

  • Be at least eighteen (18) years of age and possess the legal capacity to enter into binding contracts under Nigerian law
  • Not be prohibited from receiving or using the Services under the laws of the Federal Republic of Nigeria or any other applicable jurisdiction
  • Provide accurate, complete, and current registration information
  • Comply with all applicable laws, regulations, and these Terms

3.2 Account Registration and Verification

Access to certain features of our Services requires account registration. When registering, you agree to:

  • Provide truthful, accurate, and complete information as requested
  • Complete all required identity verification (Know Your Customer/KYC) procedures
  • Maintain and promptly update your account information to ensure it remains accurate and current
  • Maintain the confidentiality and security of your login credentials
  • Immediately notify us of any unauthorized access to or use of your account
  • Accept full responsibility for all activities that occur under your account

We reserve the right to refuse registration, suspend, or terminate any account at our discretion, including where we reasonably suspect fraudulent, illegal, or unauthorized activity.

3.3 Account Types and Permissions

The Grid offers different account types with distinct permissions and responsibilities:

  • Tenant Accounts: Enable gas purchase (top-up), real-time consumption monitoring, transaction history viewing, and customer support access.
  • Facility Manager Accounts: Provide building oversight dashboards, tenant management capabilities, vendor selection authority, consumption analytics, and incident reporting tools.
  • Vendor Accounts: Allow receipt of refill orders, fulfillment confirmation, settlement management, and operational coordination.
  • Building Operator Accounts: Provide infrastructure monitoring, maintenance scheduling, and regulatory compliance tools.

Users may hold multiple account types where authorized, subject to verification requirements for each role.

4. Description of Services

4.1 Platform Services

The Grid Gas Network provides a technology platform for coordinated, safe, and efficient LPG distribution in multi-unit buildings, including:

  • Prepaid smart metering enabling individual unit billing and consumption control
  • Mobile and web applications for Tenant gas purchases and usage monitoring
  • Facility management dashboards for building oversight and reporting
  • Vendor management and order dispatch systems
  • Real-time telemetry monitoring with automated safety alerts
  • Customer support services via in-app chat, email, and telephone

4.2 Infrastructure Services

Subject to separate Infrastructure Agreements with Building Owners or Facility Managers, The Grid may:

  • Install centralized LPG storage tanks and reticulation piping
  • Install smart meters and control equipment in individual units
  • Provide ongoing maintenance, monitoring, and support for installed infrastructure
  • Conduct safety inspections and compliance checks

Infrastructure installations are subject to technical assessments, regulatory approvals, and mutually agreed commercial terms.

4.3 Service Availability

We endeavor to maintain continuous service availability but do not guarantee uninterrupted, error-free, or secure access to the Services. Services may be temporarily unavailable due to:

  • Scheduled maintenance (with reasonable advance notice where practicable)
  • Emergency maintenance or security updates
  • Circumstances beyond our reasonable control, including force majeure events
  • Third-party service provider outages

We shall not be liable for any loss, damage, or inconvenience arising from service interruptions except as expressly provided in these Terms.

5. Payments, Pricing, and Transactions

5.1 Tenant Prepaid Purchases

Tenants purchase Prepaid Credits through the Platform to access gas services. By making a purchase, you agree that:

  • All payments are processed through licensed third-party payment service providers (PSPs) regulated by the Central Bank of Nigeria (CBN)
  • You authorize the payment processor to debit your payment method for the amount specified
  • Prepaid Credits are non-refundable once credited to your account, except as required by applicable law or as expressly provided in our Refund Policy
  • Minimum purchase amounts may apply as displayed in the Platform at the time of purchase
  • Credits are denominated in Nigerian Naira (₦) and converted to gas units based on prevailing rates

5.2 Pricing and Rate Adjustments

Gas pricing is subject to change based on market conditions, supplier costs, and regulatory factors. We endeavor to:

  • Display current pricing clearly in the Platform at the point of purchase
  • Provide reasonable advance notice of significant price changes where practicable
  • Apply pricing changes prospectively to new purchases only

Your continued use of the Services following a price change constitutes acceptance of the new pricing.

5.3 Vendor Settlements

Vendors receive settlements for confirmed order fulfillments. Settlements are:

  • Processed to bank accounts registered and verified in the Vendor's business name
  • Subject to platform fees, commissions, and deductions as specified in the applicable Vendor Agreement
  • Contingent upon verified order completion and absence of disputes
  • Processed according to the settlement schedule specified in the Vendor Agreement

5.4 Taxes

All prices displayed are inclusive of Value Added Tax (VAT) where applicable. You are responsible for any other taxes, levies, or duties imposed by applicable laws on your transactions.

5.5 Payment Disputes

If you believe a transaction was processed in error, you must notify us within thirty (30) days of the transaction date. We will investigate and, where appropriate, process refunds or adjustments in accordance with our Refund Policy.

6. User Conduct and Prohibited Activities

You agree to use our Services only for lawful purposes and in compliance with these Terms. You expressly agree NOT to:

6.1 Illegal and Fraudulent Conduct

  • Use the Platform for any purpose that violates Nigerian law or any applicable local, state, or international laws
  • Engage in fraud, money laundering, or other financial crimes
  • Provide false, misleading, or fraudulent information during registration or verification
  • Impersonate another person or entity or misrepresent your affiliation
  • Use stolen or unauthorized payment methods

6.2 Platform Integrity Violations

  • Attempt to gain unauthorized access to any part of the Platform, other users' accounts, or our systems
  • Interfere with, disrupt, or overload our servers, networks, or infrastructure
  • Introduce malware, viruses, or other harmful code
  • Circumvent, disable, or interfere with security features
  • Use automated scripts, bots, or other means to access the Platform without authorization
  • Reverse engineer, decompile, or disassemble any part of the Platform

6.3 Infrastructure Violations

  • Tamper with, modify, or damage smart meters, tanks, valves, or other infrastructure
  • Attempt to bypass metering or gain unauthorized access to gas supply
  • Obstruct access to infrastructure for maintenance or inspection
  • Connect unauthorized devices or equipment to The Grid infrastructure
  • Resell, redistribute, or commercially exploit gas obtained through the Platform without authorization

6.4 Harmful Conduct

  • Engage in conduct that threatens the safety of persons or property
  • Harass, abuse, or harm other users, staff, or vendors
  • Post or transmit defamatory, obscene, or offensive content
  • Violate the privacy rights of others

Violation of these provisions may result in immediate suspension or termination of your account, forfeiture of Prepaid Credits, and referral to appropriate law enforcement authorities where warranted.

7. Safety Responsibilities

Given the inherent hazards associated with LPG, all users share responsibility for safety.

7.1 General User Obligations

All users must:

  • Familiarize themselves with LPG safety guidelines and emergency procedures
  • Immediately report any gas leaks, unusual odors, equipment damage, or safety concerns through the Platform or by calling our emergency hotline
  • Follow all safety instructions provided by The Grid, Facility Managers, or emergency responders
  • Not interfere with safety equipment, including meters, valves, regulators, or sensors
  • Comply with building evacuation procedures in the event of an emergency
  • Ensure adequate ventilation in areas where gas appliances are used
  • Use only approved appliances connected by qualified technicians

7.2 Facility Manager Obligations

Facility Managers are additionally responsible for:

  • Ensuring all tenants receive safety orientation and guidelines
  • Maintaining clear access to infrastructure for inspection and maintenance
  • Promptly communicating safety alerts to all building occupants
  • Coordinating with The Grid on scheduled maintenance and safety inspections
  • Maintaining current emergency contact information in the Platform

7.3 Vendor Obligations

Vendors must:

  • Maintain all licenses, permits, and certifications required for LPG handling and transportation under Nigerian law
  • Adhere to all Department of Petroleum Resources (DPR) and other regulatory requirements
  • Use properly maintained, certified equipment and vehicles
  • Follow safe handling, transfer, and storage procedures for all operations
  • Immediately report any incidents, near-misses, or safety concerns through the Platform
  • Maintain appropriate insurance coverage as specified in the Vendor Agreement

7.4 Emergency Procedures

In the event of a suspected gas leak or emergency:

  • Evacuate the area immediately
  • Do not operate electrical switches, appliances, or open flames
  • Call The Grid emergency hotline and local emergency services
  • Do not re-enter the premises until cleared by safety personnel

8. Intellectual Property Rights

8.1 Ownership

The Grid Gas Network and all related intellectual property, including but not limited to:

  • The Platform's source code, software, algorithms, and technical architecture
  • Trademarks, trade names, logos, and brand elements
  • Website and application content, design, and user interfaces
  • Documentation, training materials, and written content
  • Proprietary methodologies, processes, and know-how

are and shall remain the exclusive property of The Grid Gas Network Limited, protected by Nigerian intellectual property laws, including the Copyright Act, Trade Marks Act, and Patents and Designs Act, as well as applicable international treaties.

8.2 Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for your personal or internal business purposes as contemplated by these Terms. This license does not include the right to:

  • Copy, modify, adapt, or create derivative works of any Platform content
  • Sublicense, sell, rent, lease, or otherwise transfer rights to the Platform
  • Use The Grid's trademarks or branding without written authorization
  • Remove any copyright, trademark, or other proprietary notices

8.3 User Content

You retain ownership of content you submit to the Platform. By submitting content, you grant The Grid a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display such content as necessary to provide the Services.

9. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.
  • WE EXPRESSLY DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
  • WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
  • WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY INFORMATION PROVIDED THROUGH THE SERVICES.
  • WE ARE NOT RESPONSIBLE FOR THE ACTIONS OR OMISSIONS OF THIRD-PARTY SERVICE PROVIDERS, INCLUDING PAYMENT PROCESSORS AND VENDORS.

Nothing in these Terms shall exclude or limit warranties that cannot be excluded or limited under applicable Nigerian law, including consumer protection legislation.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE NIGERIAN LAW:

10.1 Exclusion of Certain Damages

IN NO EVENT SHALL THE GRID, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY:

  • Indirect, incidental, special, consequential, punitive, or exemplary damages
  • Loss of profits, revenue, business, goodwill, or anticipated savings
  • Loss of data or data corruption
  • Loss arising from business interruption

regardless of the cause of action or whether we were advised of the possibility of such damages.

10.2 Cap on Liability

Our total aggregate liability to you for all claims arising out of or relating to these Terms or your use of the Services shall not exceed the greater of:

  • The total amount you paid to us in the twelve (12) months immediately preceding the claim, or
  • Fifty Thousand Naira (₦50,000.00)

10.3 Exceptions

The limitations in this Section shall not apply to:

  • Liability arising from our gross negligence or willful misconduct
  • Liability that cannot be excluded or limited under applicable Nigerian law
  • Your indemnification obligations under these Terms
  • Death or personal injury caused by our negligence

11. Indemnification

You agree to indemnify, defend, and hold harmless The Grid Gas Network Limited, its directors, officers, employees, agents, licensors, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:

  • Your access to or use of the Services
  • Your violation of these Terms or any applicable law or regulation
  • Your violation of any third-party rights, including intellectual property or privacy rights
  • Any content you submit, post, or transmit through the Platform
  • Your negligent or wrongful conduct
  • Any dispute between you and a third party arising from your use of the Services

We reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of such claims.

12. Termination

12.1 Termination by You

You may terminate your account at any time by contacting our customer support team. Upon your request for termination:

  • We will process your account closure within a reasonable timeframe
  • Unused Prepaid Credits may be refunded in accordance with our Refund Policy, less any applicable fees
  • You remain liable for any outstanding obligations incurred prior to termination

12.2 Termination by The Grid

We may suspend or terminate your account immediately, without prior notice, if:

  • You breach any provision of these Terms
  • We reasonably suspect fraudulent, illegal, or unauthorized activity
  • You pose a safety risk to persons or property
  • We are required to do so by law or regulatory order
  • We discontinue the Services in your area

12.3 Effects of Termination

Upon termination:

  • Your right to access and use the Services ceases immediately
  • Prepaid Credits may be forfeited where termination results from your breach or misconduct, except where refund is required by law
  • Outstanding Vendor settlements will be processed according to our standard procedures and any applicable Vendor Agreement
  • Provisions of these Terms that by their nature should survive termination shall continue in effect, including Sections 8, 9, 10, 11, 13, and 14

13. Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms, including the validity, interpretation, breach, or termination thereof, shall be resolved as follows:

13.1 Informal Resolution

The parties shall first attempt to resolve any dispute through good faith negotiation. You agree to contact us at legal@gridgas.network with a written description of your concern before initiating any formal proceedings.

13.2 Mediation

If the dispute is not resolved within thirty (30) days of the initial written complaint, either party may request mediation. Mediation shall be conducted by a mutually agreed mediator in Lagos, Nigeria, in accordance with the Lagos Multi-Door Courthouse (LMDC) Mediation Rules, or such other mediation rules as the parties may agree.

13.3 Arbitration

If mediation is unsuccessful, the dispute shall be finally resolved by binding arbitration in Lagos, Nigeria, in accordance with the Arbitration and Mediation Act 2023 of the Federal Republic of Nigeria. The arbitration shall be conducted by a sole arbitrator appointed by agreement of the parties, or failing agreement, by the Lagos Court of Arbitration (LCA). The language of arbitration shall be English. The arbitrator's decision shall be final and binding, and judgment upon the award may be entered in any court of competent jurisdiction.

13.4 Class Action Waiver

To the extent permitted by applicable law, you agree that any dispute resolution proceedings shall be conducted only on an individual basis and not in a class, consolidated, or representative action.

13.5 Exceptions

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief from a court of competent jurisdiction to protect its intellectual property rights or to prevent irreparable harm pending resolution of a dispute.

14. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law principles.

Subject to the dispute resolution provisions in Section 13, the courts of Lagos State, Nigeria, shall have non-exclusive jurisdiction over any dispute arising out of or relating to these Terms.

15. Modifications to Terms

We reserve the right to modify, amend, or update these Terms at any time in our sole discretion. When we make changes:

  • We will update the "Last updated" date at the top of these Terms
  • For material changes, we will provide notice through the Platform, via email, or by other reasonable means
  • We will specify the effective date of the revised Terms

Your continued access to or use of the Services after the effective date of any modifications constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you must discontinue use of the Services before the effective date.

16. General Provisions

16.1 Entire Agreement

These Terms, together with the Privacy Policy and any other policies or agreements referenced herein, constitute the entire agreement between you and The Grid regarding the subject matter hereof and supersede all prior or contemporaneous communications, representations, or agreements, whether oral or written.

16.2 Severability

If any provision of these Terms is found by a court or tribunal of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed from these Terms. The remaining provisions shall continue in full force and effect.

16.3 Waiver

No failure or delay by The Grid in exercising any right, power, or remedy under these Terms shall operate as a waiver thereof, nor shall any single or partial exercise of any right preclude any other or further exercise thereof.

16.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations to any affiliate or successor entity without restriction.

16.5 Force Majeure

The Grid shall not be liable for any failure or delay in performance resulting from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, civil unrest, government actions, power failures, telecommunications failures, labor disputes, or epidemic/pandemic events.

16.6 No Third-Party Beneficiaries

These Terms are for the sole benefit of the parties and do not create any third-party beneficiary rights except as expressly provided herein.

16.7 Language

These Terms are drafted in English. In the event of any inconsistency between English and any translation, the English version shall prevail.
